Why this matters now
Under Act 122 of 2022, Pennsylvania replaced the old once-a-decade report with an annual requirement, due every September 30. Pennsylvania administrative dissolution, termination, or cancellation for failure to file begins with Annual Reports not filed in 2027 — filing this year and next builds the habit before that takes effect.

What is PA Filing Lock?
PA Filing Lock is a private, third-party filing assistance service, operated by The PA EMBOSSy Network, LLC, that helps Pennsylvania LLC owners confirm their business details and file their Pennsylvania Annual Report.
What is a Pennsylvania Annual Report?
Under Act 122 of 2022, Pennsylvania replaced its old once-a-decade decennial report with an Annual Report requirement, generally due every September 30.
Who generally needs to file one?
Pennsylvania LLCs and other registered business entities are generally required to file an Annual Report with the Pennsylvania Department of State each year.
Is PA Filing Lock part of the Pennsylvania government?
No. PA Filing Lock is a private company and is not the Pennsylvania Department of State, and is not affiliated with or endorsed by any government agency.
Can a business owner file directly with Pennsylvania instead?
Yes. A business owner is always free to file their Annual Report directly with Pennsylvania themselves, online, at file.dos.pa.gov, for the state's own government filing fee.
What does PA Filing Lock handle?
PA Filing Lock confirms the business's current details, prepares the Annual Report, submits it to Pennsylvania on the owner's behalf, and delivers the filed confirmation back to the owner. Filed and confirmed within 1 business day of your order. 100% Accurate Filing Guarantee — if we make an error, we correct it at no additional cost to you.
What does PA Filing Lock cost?
PA Filing Lock charges a $127 service fee for preparing and filing your report — standard rate. Portfolio Annual — managed every year, never starting over: 2–4 LLCs: $279/LLC/year; 5–9 LLCs: $259/LLC/year; 10–24 LLCs: $239/LLC/year; 25+ LLCs: Custom pricing. This is separate from Pennsylvania's own government filing fee, which is shown before you complete your order.
What does Portfolio Annual cover — is it one year or multiple years?
Portfolio Annual is an annual subscription — not a multi-year prepayment. Your payment covers the current filing year and enrolls your LLCs in our managed service going forward. Every August before the September 30 deadline, we confirm your enrolled entities and file every Annual Report on your behalf. You pay once per year per LLC at the applicable rate for that filing year. There is no long-term contract. Your portfolio carries forward automatically — we already know your entities next year. No forms, no starting over.
What is your refund policy?
If your filing has not yet been submitted to Pennsylvania, you are entitled to a full refund — no questions asked. Once your filing has been submitted, no refund is available. The work is complete and your Pennsylvania confirmation number is your proof of service. 100% Accurate Filing Guarantee: if we make an error, we correct it at no additional cost to you.
How will I receive proof that my LLC was filed?
Once we submit your Annual Report to the Pennsylvania Department of State, you receive your official Pennsylvania confirmation number directly from us. Online filings are automatically approved — you will have your confirmation number within 1 business day of your order.
What information do you need from me to file?
Just your Pennsylvania LLC entity number or business name. We look up your current information on file with the state, confirm the details with you, and handle the rest. Pennsylvania's online portal pre-populates your filing with existing state records, so in most cases there is nothing new for you to provide.
What if my LLC's registered address or officer information has changed?
If your registered office, principal office, or officer information has changed, let us know when you place your order or before we file — we'll enter the updated details on your Annual Report based on what you provide. We rely on the information you give us; verifying its legal accuracy is your responsibility.
What happens if I miss the September 30 deadline — can I still file?
Yes. Pennsylvania does not charge a state late fee for filing after September 30 and the state portal still accepts the filing. For 2025 and 2026 reports there is no administrative dissolution for nonfiling. However, Pennsylvania's public business registry at file.dos.pa.gov shows whether each LLC is compliant with annual reporting requirements — meaning anyone who searches your business can see whether you have filed. This includes lenders, vendors, title companies, and anyone requiring proof of compliance before doing business with you. Beginning with 2027 reports, continued nonfiling results in administrative dissolution six months after the deadline. PA Filing Lock handles post-deadline filings at the standard rate of $127.
Is my payment secure?
Yes. All payments are processed through Stripe, one of the world's most trusted payment platforms. PA Filing Lock never stores your credit card information. Your payment is encrypted end-to-end.
Do foreign LLCs registered in Pennsylvania need to file an Annual Report?
Yes. Foreign LLCs — LLCs formed in another state but registered to do business in Pennsylvania — are subject to the same Annual Report requirement and the same September 30 deadline. PA Filing Lock handles filings for both domestic and foreign Pennsylvania LLCs.
